Sanqian Terms of Service

These Terms of Service (“Terms”) govern your use of Sanqian Notes and related services (the “Service”) operated by Sanqian (“we”, “us”). By creating an account or using the Service, you agree to these Terms.

1. The Service

Sanqian Notes is an AI-powered note-taking application. Paid subscriptions unlock managed AI features, including AI chat assistance, semantic search over your own notes, and voice features (speech-to-text and text-to-speech). AI features are powered by third-party AI model providers; Sanqian is not affiliated with or endorsed by these providers.

2. Accounts

You may sign in with a supported third-party account (such as GitHub) or with an email verification code. You are responsible for maintaining the security of your account and for all activity under it. You must be at least 16 years old to use the Service.

3. Subscriptions, credits, and billing

  • Paid plans are billed as recurring subscriptions (monthly or annual) through our merchant of record, Creem, which handles payment processing, taxes, and invoices.
  • Plans include a monthly credit allowance that meters AI usage. Credits are granted per calendar month and reset at the start of each calendar month (UTC); they do not roll over. Annual plans are billed yearly but credits are still granted and reset monthly. Current pricing and credit allowances are displayed on our website and in the app before purchase.
  • Credit top-up packs are one-time purchases. Top-up credits are valid for 12 months from the date of purchase, survive monthly plan resets, and never auto-renew. Monthly plan credits are consumed before top-up credits.
  • Upgrading to a higher tier takes effect immediately, is charged pro-rata for the remainder of the billing period, and keeps your current billing interval; your credit allowance increases from that month onward. Switching from monthly to annual billing takes effect immediately: a new one-year billing period starts at the moment of the switch and the annual price is charged right away, with unused time on the current monthly period credited pro-rata. Canceling takes effect at the end of the current billing period; moving to a lower tier or from annual back to monthly billing is handled at period end via the customer portal.
  • When your credits are exhausted, new AI requests are declined until the next period or an upgrade; requests already in progress are never cut off.
  • We may adjust pricing or credit allowances prospectively with reasonable notice; changes never apply retroactively to an already-paid period.

4. Refunds

Refunds are handled according to our Refund Policy and processed by Creem as merchant of record.

5. Acceptable use

You agree not to: (a) use the Service for unlawful purposes; (b) attempt to breach, probe, or overload the Service; (c) resell or programmatically redistribute the managed AI capacity; (d) use the AI features to generate content that is illegal or that violates third-party rights; (e) circumvent usage metering or abuse free-tier provisioning (for example by mass-creating accounts); (f) use any AI feature -- including image generation performed through your own third-party API keys in the desktop app -- to generate adult, NSFW, pornographic, or otherwise sexually explicit content, or any content that sexualizes minors.

We may suspend or terminate accounts that violate these Terms. Where practical we will warn you first.

6. Your content

Your notes are yours. We claim no ownership of the content you create. AI requests (such as chat messages you send to the assistant) are transmitted to our servers and to third-party model providers to produce the response; we do not permanently store the content of your prompts or the AI outputs on our servers. 7. Availability and changes

The Service is provided “as is” without warranty of uninterrupted availability. We may modify or discontinue features with reasonable notice. We are not liable for indirect or consequential damages; our total liability is limited to the amount you paid for the Service in the twelve months preceding the claim, to the maximum extent permitted by law.

8. Termination

You may stop using the Service and cancel your subscription at any time via the customer portal. You may request account deletion by contacting support; deletion removes your account data as described in the Privacy Policy.
